These Terms govern your use of MiVault, a web-based resident management platform provided by Mi Vault("Mi Vault", "we", "us"). By creating an account or using the service, you agree to these Terms.
1. Who is contracting
You are contracting with Mi Vault. You confirm you are at least 18 years old, or have authority to bind the organization you represent.
2. The service
MiVault provides tools to manage residents, intake forms, notes, documents, tasks, and timelines for housing programs. We may improve, change, or remove features at any time.
3. Your account
Keep your credentials confidential. You are responsible for activity under your account. Provide accurate information and keep it current.
4. Acceptable use
You agree not to: (a) use the service unlawfully or for fraud or spam; (b) infringe intellectual property or privacy rights; (c) interfere with security (malware, probing, scraping); (d) attempt to reverse engineer, resell, or circumvent technical limits.
5. AI-generated content
MiVault includes AI assistance that drafts professional language for notes, incident reports, and summaries. You are responsible for reviewing and verifying outputs before relying on them for any operational, clinical, or regulatory purpose. AI outputs are not professional advice.
6. Your data
You retain ownership of the resident data and content you put into MiVault. You grant Mi Vault a limited license to host and process that content solely to provide the service.
7. Intellectual property
Mi Vault retains all rights to the software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the service within your chosen plan.
8. Payments, subscriptions and tax
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing frequency, cancellations, tax handling, and refund mechanics are governed by Paddle's Buyer Terms.
Subscriptions renew automatically at the end of each billing period unless cancelled in advance. See our Refund Policy.
9. Service level
We work hard to keep MiVault available, but we do not guarantee uninterrupted or error-free service.
10. Warranties and liability
To the fullest extent permitted by law, MiVault is provided "as is" without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose. Aggregate liability is capped at the fees you paid in the 12 months before the claim. We exclude liability for indirect, consequential, or special damages. Nothing in these Terms limits liability that cannot be excluded by law.
11. Suspension and termination
We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated/serious policy violations. On termination you may export your data for a reasonable window, after which data may be deleted.
12. Indemnity
You will indemnify Mi Vault for claims arising from your content, unlawful use, or breach of these Terms.
13. Changes
We may update these Terms. Material changes will be notified by email or in-app.
